About Lee

Possessing good communication skills with substantial legal experience, Lee Hagelshaw has provided independent legal services to many privately held companies. His tenure with these clients has typically been of long duration, demonstrating the value to the clients of his results-oriented approach to legal matters.

Lee has worked on a range of matters similar to tasks handled by in-house corporate counsel, including:

(i) complex contracts and agreements such as web publisher contracts, agreements for development and deployment of software and technologies, web services agreements, distributor and reseller agreements, asset purchase agreements for acquisition of web sites and other technologies and assets;
(ii) intellectual property protection, including: trademark applications and prosecutions with USPTO and litigation with TTAB (oppositions, cancellations and appeals); copyright, trademark, and unfair competition disputes and litigation, IP transfers and assignments;

(iii) corporate housekeeping matters, including: business formation, qualification for doing business in various states, stock option and equity incentive plans, corporate board and shareholder actions and minutes;

(iv) general business-legal matters, including: employment agreements and disputes, contractor agreements and disputes, employment policy issues, contract and invoicing disputes and collection actions, promissory notes, property leases;

(v) litigation matters, including: handling lawsuits in federal and state court , primarily related to intellectual property protection, contract disputes, and collection matters.

Lee has published books, spoken at industry trade groups and has
won favorable settlements in court against large corporations.
